Terms of Service

The terms that govern your access and use of the inara platform.

These Terms of Service (“Terms”) govern your access to and use of the inara platform, including our website, mobile application, Capital Access Program cohorts, pilot programs, and related services (collectively, the “Service”).

By creating an account, joining a cohort, participating in a pilot, or otherwise using the Service, you agree to these Terms.

If you do not agree to these Terms, do not use the Service.

1. About inara

inara is a technology platform that supports structured contribution based community capital programs.

inara helps institutions, organizations, and participants coordinate contribution cohorts, participant engagement, payout scheduling, reporting, and related infrastructure.

inara is not a bank.

inara is not a lender.

inara does not provide investment advice.

inara does not guarantee financial outcomes or eliminate participant risk.

Payments, bank account connections, and certain verification services may be supported by third party infrastructure providers.

2. Eligibility

To use the Service, you must:

  • Be at least 18 years old
  • Provide accurate and complete information
  • Pass applicable identity verification checks
  • Link an eligible bank account when required
  • Comply with all applicable laws and platform rules
  • Maintain only one account unless expressly authorized

inara may deny, restrict, suspend, or terminate access at any time if we believe a user:

  • Violates these Terms
  • Creates risk to the platform or participants
  • Provides false information
  • Attempts fraud or abuse
  • Fails required verification
  • Violates payment obligations
  • Interferes with platform operations

3. Nature of the Service

inara coordinates structured contribution cohorts designed to support predictable access to lump sum capital through participant contributions.

Participation involves financial responsibility and participant risk.

By participating, you acknowledge and understand:

  • Contributions are required according to cohort schedules
  • Payout timing is determined by platform rules and eligibility systems
  • Missed payments may affect your account standing, participation access, payout eligibility, or future use of the platform
  • inara may apply trust, safety, continuity protection, fraud prevention, and operational controls to maintain platform stability
  • inara does not guarantee uninterrupted access, guaranteed approval, guaranteed payout timing, or guaranteed future eligibility

Institutional pilot programs may involve additional rules, requirements, reporting structures, or participation conditions.

4. Accounts and Verification

You are responsible for maintaining accurate account information.

You authorize inara and its providers to verify your identity and eligibility using third party verification services when required.

Verification may include:

  • Identity verification
  • Fraud screening
  • Bank account verification
  • Risk assessment
  • Authentication review
  • Additional documentation requests

Failure to complete verification may result in:

  • Restricted access
  • Delayed participation
  • Suspended payouts
  • Inability to join cohorts
  • Account suspension or closure

You are responsible for maintaining the confidentiality of your login credentials and account access.

5. Payments and Bank Connections

inara may use third party providers, including Stripe and Plaid, to support:

  • Payment processing
  • ACH debits
  • Bank account connections
  • Account verification
  • Payout workflows
  • Transaction monitoring

By using the Service, you authorize inara and its providers to:

  • Initiate authorized contribution debits
  • Process eligible payouts
  • Retry failed transactions when appropriate
  • Verify linked accounts
  • Monitor transaction status

You agree to maintain sufficient available funds for scheduled contribution obligations.

Failed or reversed payments may result in:

  • Additional retries
  • Restrictions
  • Loss of eligibility
  • Delayed participation
  • Account review
  • Removal from active participation
  • Additional trust and risk controls

6. Cohort Participation

Participation in cohorts is subject to platform rules, operational controls, and eligibility systems.

Cohorts may include:

  • Fixed contribution schedules
  • Structured payout timing
  • Participant sequencing
  • Completion requirements
  • Trust based eligibility systems
  • Continuity protection mechanisms
  • Institutional oversight in sponsored programs

inara may modify, pause, restructure, delay, limit, or discontinue cohorts when necessary to:

  • Protect participants
  • Maintain platform integrity
  • Address operational risk
  • Support continuity
  • Respond to fraud or abuse
  • Comply with legal obligations
  • Support institutional pilot operations

inara reserves the right to determine participant eligibility, payout timing eligibility, and cohort participation limits.

7. Deposits and Platform Protection Controls

Certain cohorts or participation levels may require security deposits, reserves, eligibility thresholds, or related protection controls.

These controls may be used to:

  • Support platform continuity
  • Reduce participant risk
  • Manage missed payment exposure
  • Maintain operational stability
  • Support trust and safety systems

Deposits or protection balances may:

  • Be held at the account level
  • Be adjusted based on participation activity
  • Be required before joining certain cohorts
  • Be used to address missed obligations according to platform rules
  • Be subject to restrictions, review, or delayed withdrawal

Additional details regarding operational handling may be maintained in separate platform policies, pilot documentation, or participant disclosures.

8. Trust, Safety, and Risk Controls

inara may maintain internal trust, safety, fraud prevention, and eligibility systems.

These systems may consider factors including:

  • Participation history
  • Completion behavior
  • Payment reliability
  • Verification status
  • Risk indicators
  • Platform activity
  • Fraud signals
  • Institutional program requirements

Based on these systems, inara may:

  • Limit participation access
  • Restrict payout eligibility timing
  • Require additional verification
  • Adjust contribution or participation limits
  • Restrict features
  • Suspend or terminate accounts
  • Block future participation

Not all trust and safety systems are publicly disclosed.

All platform determinations are made at inara's discretion.

9. Fees

Certain transactions, payout methods, or services may include fees.

Applicable fees may include:

  • Instant payout fees
  • Priority transfer fees
  • Payment processing related fees
  • Administrative or operational fees where disclosed

Fees will be disclosed through the platform, participant materials, or institutional program documentation where applicable.

You are responsible for reviewing and accepting applicable fees before completing transactions.

10. Institutional and Pilot Programs

Some cohorts or programs may be sponsored, operated, or supported by institutions, organizations, workforce programs, municipalities, universities, or community partners.

Participation in these programs may involve:

  • Additional onboarding requirements
  • Program specific rules
  • Institutional reporting
  • Participation tracking
  • Completion reporting
  • Engagement requirements
  • Communication with sponsoring organizations

By participating in such programs, you acknowledge that limited participation related information may be shared with the sponsoring institution as described in the Privacy Policy.

11. Prohibited Conduct

You agree not to:

  • Provide false or misleading information
  • Attempt fraud or abuse
  • Circumvent platform rules
  • Use another person's identity or payment information
  • Interfere with platform security
  • Attempt unauthorized access
  • Use the Service for illegal activity
  • Exploit platform vulnerabilities
  • Manipulate participation systems
  • Harass other users or institutional partners

inara may investigate suspected violations and cooperate with law enforcement or regulators when appropriate.

12. Suspension and Termination

inara may suspend, restrict, or terminate accounts at any time, with or without notice, if we believe doing so is necessary to:

  • Protect participants
  • Maintain platform integrity
  • Address fraud or abuse
  • Respond to legal obligations
  • Manage operational or financial risk
  • Enforce these Terms

Account closure or suspension may affect:

  • Active participation
  • Pending payouts
  • Future eligibility
  • Access to platform features
  • Deposit withdrawals
  • Institutional participation status

You remain responsible for unresolved obligations that existed prior to suspension or termination.

13. Disclaimers

The Service is provided on an “as is” and “as available” basis.

To the maximum extent permitted by law, inara disclaims all warranties, express or implied, including warranties related to:

  • Availability
  • Reliability
  • Fitness for a particular purpose
  • Non infringement
  • Accuracy
  • Uninterrupted operation

inara does not guarantee:

  • Specific financial outcomes
  • Participant behavior
  • Continuous platform access
  • Successful payouts
  • Institutional participation
  • Future availability of any feature or program

Participation in structured contribution cohorts involves inherent risk.

14. Limitation of Liability

To the maximum extent permitted by law:

inara and its operators, affiliates, partners, contractors, service providers, and representatives shall not be liable for indirect, incidental, special, consequential, punitive, or exemplary damages.

This includes damages related to:

  • Loss of funds
  • Missed opportunities
  • Delayed payments
  • Service interruptions
  • Data loss
  • Fraud
  • Participant conduct
  • Institutional program changes
  • Unauthorized access
  • Platform downtime

To the maximum extent permitted by law, inara's total liability arising from or related to the Service shall not exceed the total fees paid directly to inara by the user during the twelve months preceding the claim.

Some jurisdictions may not allow certain limitations, so portions of this section may not apply to you.

15. Indemnification

You agree to indemnify and hold harmless inara and its affiliates, operators, contractors, service providers, institutional partners, and representatives from claims, damages, losses, liabilities, and expenses arising from:

  • Your use of the Service
  • Your violation of these Terms
  • Your violation of law
  • Fraudulent activity
  • Your participation in cohorts or pilot programs
  • Your misuse of platform systems

16. Changes to the Service

inara may modify, suspend, discontinue, or update any part of the Service at any time.

This includes changes to:

  • Features
  • Participation rules
  • Eligibility systems
  • Contribution structures
  • Operational controls
  • Fees
  • Pilot programs
  • Institutional offerings

We are not obligated to continue supporting any particular feature, cohort structure, or program indefinitely.

17. Changes to These Terms

We may update these Terms periodically.

When we do, we will revise the “Last updated” date.

Continued use of the Service after updated Terms become effective means you accept the revised Terms.

If you do not agree to updated Terms, you must stop using the Service.

18. Governing Law

These Terms are governed by the laws of the Commonwealth of Massachusetts, without regard to conflict of law principles.

Any disputes arising from these Terms or the Service shall be resolved in accordance with applicable Massachusetts law.

19. SMS Verification and Messaging Terms

inara may use SMS messaging to provide account verification, authentication, security, and other account related communications.

Program Purpose

inara uses SMS primarily to send one time verification codes used to verify mobile phone numbers and support secure account access.

Message Frequency

For SMS verification, you will generally receive one SMS message per verification request. Additional verification messages will only be sent when another verification code is requested or when otherwise necessary for account security.

Message and Data Rates

Message and data rates may apply depending on your mobile carrier and service plan.

Consent

Consent to receive SMS messages must be provided directly by you. SMS consent is not transferable to another person or organization.

Where an alternative verification method is available, you may choose not to receive SMS messages.

Opt Out

You may reply STOP to an inara SMS message to stop receiving SMS messages at that mobile number.

After a valid opt out request is processed, additional SMS messages will not be sent to that number unless you subsequently opt in again or otherwise provide new consent where permitted.

Opting out of SMS verification may prevent you from using SMS based verification and may require you to use an alternative verification method where available.

Delivery

Wireless carriers are not liable for delayed or undelivered messages.

Delivery of SMS messages may be affected by your wireless carrier, network availability, device settings, or circumstances outside of inara's control.

Privacy

Information collected or processed through inara SMS messaging is handled according to the inara Privacy Policy.

Mobile information, including mobile phone numbers and SMS opt in consent, will not be sold, rented, or shared with third parties or affiliates for marketing or promotional purposes.
